Position Overview:
We are seeking an experienced Private Equity Fund Formation Attorney with 7+ years of relevant legal experience to join our highly regarded sponsor-side fund formation practice in New York. This is an exceptional opportunity to work closely with leading practitioners in the field and gain exposure to sophisticated clients and innovative fund structures.
Candidates will be expected to contribute meaningfully to client matters from day one and benefit from hands-on training, mentorship, and direct interaction with fund sponsors on cutting-edge legal and regulatory issues in the private equity space.
Key Responsibilities:
Advise private equity sponsors on the formation, structuring, and operation of private investment funds.
Draft and negotiate fund documents, side letters, and related investor materials.
Provide counsel on regulatory, compliance, and operational matters impacting fund formation and management.
Work directly with clients on complex legal and business issues, with opportunities for relationship-building and client development.
Collaborate with colleagues across practice groups, including tax, regulatory, and corporate M&A.
Qualifications:
J.D. from an accredited law school and admitted to practice in New York.
Minimum of 7 years of experience in private equity fund formation at a top law firm or in-house.
Deep understanding of fund structures, market terms, and applicable regulatory frameworks (e.g., Investment Advisers Act, ERISA, etc.).
Exceptional drafting, analytical, and communication skills.
Detail-oriented and organized, with the ability to manage multiple projects and deadlines.
A collaborative, proactive, and client-focused mindset.
Compensation & Benefits:
Base Salary Range: $310,000 $420,000 (commensurate with experience and qualifications)
Bonuses: Discretionary, performance-based
